SEM is only related to traffic either paid or free like Yahoo, Google and MSN. It is a form of paid advertising which can guarantee you prominent ranking on the search engine results.

I think SEO is part of SEM, in the sense that online marketing is a major branch while SEO is just an SEO technique to promote a website. Both are essential for boosting SERP though and are crucial for a website.
